AGREEMENT TO OUR LEGAL TERMS
These Terms of Service constitute a legally binding agreement made between you and Uplift Technology Services, LLC (doing business as Friction Whisper) ("we," "us," or "our"), concerning your access to and use of our website at https://frictionwhisper.com and our related services (the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, you must discontinue use. Contact: support@frictionwhisper.com.
1. OUR SERVICES
The Services are a software-as-a-service (SaaS) platform. They are intended for users who are at least 18 years of age. The Services are hosted in the United States and are available to users in the United States, the EU/UK, and elsewhere; those who access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.
2. ACCOUNTS
You may create an account to use certain features. You are responsible for keeping your account credentials confidential and for all activity under your account. You agree to provide accurate information and to keep it up to date.
3. SUBSCRIPTIONS, BILLING, AND PAYMENTS
We offer paid subscription plans. Subscriptions automatically renew; you choose a monthly or annual billing cycle at sign-up. We accept Visa, Mastercard, American Express, and Discover, processed by our payment processor, Stripe, on behalf of MIGX Management Services, LLC (our billing agent and merchant of record). All charges are in US dollars. You authorize us (via Stripe) to charge your payment method on a recurring basis until you cancel. All fees are non-refundable except where required by law. You may cancel your subscription at any time by logging in to your account or by contacting customer support; cancellation takes effect at the end of the current billing period.
4. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than that for which we make them available. Prohibited activities include, without limitation: systematically retrieving data to build a collection or database without permission; tricking or defrauding us or other users; interfering with security-related features; using the Services to advertise or offer to sell goods and services not authorized by us; selling or otherwise transferring your profile; and using the Services in a manner inconsistent with any applicable laws.
5. THIRD-PARTY WEBSITES AND CONTENT
The Services may link to third-party websites and services that are not owned or controlled by us. We are not responsible for the content, policies, or practices of any third-party websites.
6. SERVICES MANAGEMENT; AVAILABILITY
We reserve the right to monitor the Services, take appropriate legal action against violators, and manage the Services to protect our rights and property. We do not guarantee that the Services will be available at all times.
7. TERM AND TERMINATION
These Terms remain in effect while you use the Services. We may, in our sole discretion and without notice, deny access to and use of the Services to any person for any reason, including for breach of these Terms.
8. DISPUTE RESOLUTION
Informal Negotiations. To expedite resolution, you and we agree to first attempt to resolve any dispute informally for at least thirty (30) days before initiating arbitration.
Binding Arbitration. If the dispute is not resolved through informal negotiations, it will be resolved by binding arbitration. The arbitration will take place in Montgomery County, Texas, United States. We will pay arbitration fees that are deemed excessive.
Litigation. If a dispute proceeds in court rather than arbitration, the litigation will take place in the state and federal courts located in Montgomery County, Texas, United States.
9. LIMITATION OF LIABILITY
To the fullest extent permitted by law, in no event will our aggregate liability to you for any claim arising out of or relating to the Services exceed the amount paid by you to us during the six (6) month period prior to the event giving rise to the claim.
10. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict-of-law principles.
11. UPDATES TO THESE TERMS
We may update these Terms from time to time. We will notify users of material changes; for non-urgent changes we provide at least seven (7) days' notice, while security updates, bug fixes, and changes required by a court order may take effect immediately. Your continued use after changes become effective constitutes acceptance.
